Terms of Service

These Terms of Service ("Terms") govern your access to and use of Kwoat, operated by Kwoat Technologies, LLC, a limited liability company registered in the State of Delaware, United States (131 Continental Dr, Suite 305, Newark, DE 19713, United States).

By creating an account or using the Service, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service. If you are using Kwoat on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1. The service

Kwoat is an AI platform aggregator that provides access to multiple third-party AI models through a single interface. Kwoat does not operate its own AI models. When you submit a prompt, it is transmitted to the relevant AI provider and the response is returned to you. We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

2. Eligibility

You must be at least 13 years old to use Kwoat (16 in the EEA). By using the Service, you represent that you meet this requirement and have the legal capacity to enter into these Terms.

3. Account registration

• You must provide accurate and complete information when creating an account.
• You are responsible for maintaining the security of your account credentials.
• Notify us immediately at support@kwoat.ai if you suspect unauthorised access.
• We reserve the right to suspend or terminate accounts that violate these Terms.

4. Acceptable use

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Generate content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene.
• Generate content that sexualises minors or facilitates harm to children.
• Create malware, phishing pages, spam, or other malicious content.
• Infringe the intellectual property rights of others.
• Attempt to reverse-engineer or extract training data from AI models.
• Circumvent usage limits, rate limits, or billing controls.
• Use automated scripts or bots to access the Service beyond normal usage.
• Resell or sublicense access to the Service without our prior written consent.
• Use the Service to develop a competing AI aggregator platform.

We reserve the right to determine, in our sole discretion, what constitutes a violation of these provisions.

5. AI model usage

You acknowledge that:

• AI outputs may be inaccurate, incomplete, or inappropriate. Always verify important information independently.
• You are responsible for how you use AI-generated content.
• Third-party AI providers have their own terms of service which also apply to your use through Kwoat.
• We do not guarantee the availability of any specific AI model at any time.

6. Agent missions

Agent missions (Pro Max only) execute code and commands in a cloud sandbox environment. You are responsible for the goals you give the agent and the code it produces. You agree not to instruct the agent to perform actions that violate these Terms or applicable law. Mission output files are available for download for 30 days after completion.

7. Payments and billing

7.1 Plans and pricing

Kwoat offers a Free plan, Pay As You Go, Pro ($19/month or $209/year), and Pro Max ($149/month or $1,639/year). Annual plans provide one month free. Features and limits are described at kwoat.ai/docs/pricing.

7.2 Wallet

The wallet is a prepaid balance topped up in advance and drawn down per use. Wallet balance never expires. Top-ups are non-refundable except as required by applicable law.

7.3 Credits

Pro and Pro Max subscriptions include monthly credit pools (Standard, Advanced, Premium, and Video) that reset on your billing cycle date. Unused credits do not roll over. When credits are exhausted, charges fall to your wallet at Pay As You Go rates.

7.4 Subscriptions

Subscriptions renew automatically unless you cancel before the renewal date. You may cancel at any time from Settings → Subscription. Access continues until the end of your current billing period. No partial refunds are issued for unused time.

7.5 Currency and taxes

Prices are in USD. African users may be billed in local currency via Flutterwave. Prices are exclusive of applicable taxes. VAT, GST, and other taxes are calculated at checkout based on your location where required by law.

7.6 Price changes

We will give at least 30 days' notice of price increases by email and in-app notification. Changes take effect at your next billing cycle after the notice period.

7.7 Termination and wallet balance

If we terminate your account for a violation of these Terms, any remaining wallet balance is forfeited. If you close your account voluntarily, unused wallet balance is non-refundable per our wallet top-up policy.

8. Intellectual property

8.1 Your content

You retain ownership of the prompts and files you submit ("Input") and the AI-generated content returned to you ("Output"), subject to the terms of the underlying AI providers. By submitting Input, you grant Kwoat a limited licence to process and transmit it to AI providers solely to provide the Service. This licence terminates when you delete the content or close your account.

8.2 Kwoat's IP

The Kwoat name, logo, product design, and underlying technology are the intellectual property of Kwoat Technologies, LLC. Nothing in these Terms grants you any rights to our brand or technology outside normal use of the Service.

8.3 Feedback

If you provide feedback or suggestions, we may use them without any obligation to you.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT AI-GENERATED OUTPUTS WILL BE ACCURATE OR SUITABLE FOR YOUR PURPOSES.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, KWOAT TECHNOLOGIES, LLC AND ITS MEMBERS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL ARISING FROM YOUR USE OF THE SERVICE.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) $100 USD.

11. Indemnification

You agree to defend, indemnify, and hold harmless Kwoat Technologies, LLC and its members from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

12. Dispute resolution

12.1 Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions.

12.2 Informal resolution

Before filing a formal claim, contact us at privacy@kwoat.ai to attempt informal resolution. We will endeavour to resolve disputes within 30 days.

12.3 Arbitration

If informal resolution fails, disputes shall be resolved by binding arbitration under AAA rules in Delaware, United States, on an individual basis. You waive any right to participate in a class action.

12.4 Users outside the United States

If you are located outside the United States, you may have rights under your local law that cannot be waived by contract. Nothing in these Terms is intended to limit such rights.

13. General provisions

• Entire agreement: these Terms and our Privacy Policy constitute the entire agreement between you and Kwoat Technologies, LLC regarding the Service.
• Severability: if any provision is unenforceable, the remaining provisions continue in full force.
• Waiver: our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment: you may not assign your rights without our prior written consent. We may assign ours in connection with a merger or acquisition.

14. Changes to these Terms

We may update these Terms from time to time. We will notify you of material changes by email and in-app notification at least 14 days before they take effect. Continued use after changes constitutes acceptance.
